Understanding the New BOI Reporting Requirements
What Redmond Businesses Need to Know
🚨 Update on BOI Reporting Requirements
Yesterday, the U.S. District Court for the Eastern District of Texas issued a nationwide preliminary injunction against enforcement of the Beneficial Ownership Information (BOI) reporting requirements under the Corporate Transparency Act (CTA).
This means:
✔️ Businesses are no longer required to comply with the January 1, 2025 deadline.
✔️ FinCEN cannot enforce penalties for noncompliance.
The decision stems from a lawsuit filed by the National Federation of Independent Business (NFIB), challenging the CTA’s constitutionality.
Starting in 2024, new Beneficial Ownership Information (BOI) reporting requirements are in effect under the Corporate Transparency Act (CTA). These requirements are designed to increase transparency in corporate ownership and combat illicit financial activities. Here’s what businesses in Redmond need to know.
What is BOI Reporting?
The Beneficial Ownership Information (BOI) reporting requirement mandates certain businesses to disclose detailed information about individuals who own or control them. The goal is to prevent the misuse of legal entities for activities like money laundering and terrorism financing.
Who Needs to File?
The BOI reporting rule applies to many types of entities, including:
- Corporations
- Limited Liability Companies (LLCs)
- Limited Partnerships
- Other similar entities created by filing with a state office.
Exemptions: Certain businesses, such as banks, credit unions, securities issuers, insurance companies, and nonprofits, are exempt from this requirement. A full list of exemptions is available in the FinCEN Small Entity Compliance Guide.
What Information is Required?
Businesses subject to BOI reporting must provide:
- Beneficial Owners’ Details:
- Full legal name
- Date of birth
- Residential address
- Unique identifying number (from a passport, driver’s license, etc.)
- Reporting Company Details:
- Name
- Address
- Formation jurisdiction
- Taxpayer Identification Number (TIN)
When Are the Deadlines?
- Existing Businesses: Formed before January 1, 2024, must file their initial report by December 31, 2024.
- New Businesses: Formed on or after January 1, 2024, must file within 90 days of formation or registration.
How to File?
Reports must be filed electronically through FinCEN’s BOI E-Filing System. To access the system and submit your report, visit fincen.gov/boi.
What Happens If You Don’t Comply?
